Introduction and Acceptance

These Terms and Conditions (“Terms”) govern your access to and use of the TG Tracking website (tgtracking.com), our online services, and the purchase and use of TG Tracking hardware and software services (“the Services”). This is a legal agreement between you (“Customer,” “user,” or “you”) and TG Tracking LLC, a company registered in the State of Wyoming, USA (“TG Tracking,” “we,” or “us”). By accessing our website, creating an account, purchasing a product, or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy and other policies referenced herein (such as the Return Policy, Shipping Policy, Acceptable Use Policy, and End-User License Agreement). If you do not agree with these Terms, you must not use the website or Services.

Eligibility: You must be at least 16 years old to use our Services. By registering an account or using the Services, you affirm that you are 16 or older (or the age of majority in your jurisdiction, if higher) and capable of forming a binding contract. Our Services are not intended for children; if you are under 16, do not use the Services.

Accounts and User Responsibilities

To use certain features of our Services (such as accessing tracking data or managing devices), you may need to create a user account. When creating an account, you agree to provide accurate, current, and complete information about yourself as prompted, and to keep this information updated. You are responsible for maintaining the confidentiality of your account credentials (login and password) and for all activities that occur under your account. You agree to notify us immediately at [email protected] if you suspect any unauthorized access to or use of your account.

You are responsible for all use of the Services under your account, whether by you or others. If you purchase devices or subscriptions for use by a third party (for example, your employees or family members), you are responsible for ensuring that each authorized user is aware of and complies with these Terms and our Acceptable Use Policy. You agree not to share your login credentials with unauthorized persons and to use reasonable security measures (including choosing a strong password) to protect your account.

Description of Services

TG Tracking provides GPS tracking devices (hardware such as vehicle trackers, asset sensors, and AI dashcams) and cloud-based software (web and mobile applications) that enable live tracking, historical reporting, driver behavior analysis, and related telematics services. Our devices communicate using global cellular networks (e.g., 4G/LTE-M) or LoRaWAN technology to transmit location and sensor data to our cloud platform, where you can access it through our applications. We offer subscription plans (monthly or annual) that allow access to the tracking platform and data services for each device.

We will use reasonable efforts to ensure the Services are available 24/7 and that tracking data is updated in real-time. However, you acknowledge that the performance of the tracking Services may be affected by factors beyond our control, such as GPS satellite availability, cellular network coverage, terrain, weather, building obstructions, or device installation quality. Therefore, TG Tracking cannot guarantee that the Services will be uninterrupted, error-free, or achieve precise results at all times. The tracking devices and software are tools to assist with asset monitoring, but they are not infallible guarantees of asset recovery or safety.

Orders, Pricing, and Payments

Product Orders: When you place an order for hardware devices through our website or sales team, you agree that your order is an offer to buy the products listed in your order under these Terms. All orders are subject to acceptance by TG Tracking. We reserve the right to cancel or refuse any order prior to acceptance, for example, due to inaccuracies, stock issues, or suspicion of fraud.

Pricing and Taxes: All prices are listed in the currency indicated (e.g., USD for US website, GBP for UK, ZAR for South Africa if applicable) and are subject to change. Prices do not include applicable taxes, duties, or shipping charges unless otherwise stated. You are responsible for any sales, use, value-added, or equivalent taxes associated with your purchase, based on the shipping address and applicable tax laws.

Payment: We accept payment via major credit/debit cards and other payment methods as indicated at checkout. Specifically, we use Stripe to process payments in the US, UK, EU and other supported regions, and PayFast to process payments in South Africa. By providing a payment method, you represent that you are authorized to use that method and you authorize our payment processors to charge the full amount of your order (including any applicable taxes and shipping) to that payment method. Payment is due at the time of order for purchases, or on the billing date for subscription renewals. If your payment fails or is later reversed, we may cancel your order or suspend your Service.

Subscriptions: Our tracking Services are provided on a subscription basis (month-to-month or annual plans, depending on your selection). Subscription Term and Renewal: When you activate a device on a subscription plan, you will be billed in advance for the subscription period (e.g., monthly or annually). Subscriptions will automatically renew at the end of each term for a successive term of the same length, unless cancelled by either party prior to renewal. For monthly plans, this means you will be charged each month until you cancel; for annual, you will be charged each year. We will use the payment method on file to process renewal payments. You are responsible for keeping your billing information up-to-date.

Cancellation of Subscription: You may cancel your subscription at any time by contacting us or using the account management interface. To avoid being charged for the next renewal, you must cancel before the renewal date. If you cancel a subscription, you will continue to have access to the paid Services until the end of your current billing period (we do not pro-rate or refund unused portions of a subscription term except where required by law or stated otherwise). After cancellation, or if a subscription expires due to non-payment, the device may cease transmitting data and your access to the tracking platform for that device will be limited or disabled.

No Refunds on Subscription Fees: Subscription fees (once paid) are generally non-refundable except where required by law. For instance, if you paid for an annual plan and decide to cancel midway, we typically will not issue a refund for the remaining months unless a refund is mandated by consumer protection laws or unless our specific promotion or policy states otherwise. If TG Tracking terminates your subscription without cause (e.g., discontinues service in your region) and you have prepaid fees, we will refund the unused portion. Hardware purchases may be eligible for returns or refunds under our Return Policy (see that section below), but subscription/service fees associated with used devices are not refunded after the service has been utilized.

Shipping and Delivery

We will arrange shipping of physical products (devices and accessories) to you as described in our Shipping Policy. Delivery times and shipping options will be presented at checkout or agreed upon during the order process. We strive to process orders promptly (typically within 1-3 business days for in-stock items). However, shipping times are estimates and not guarantees. Once dispatched, delivery is handled by third-party carriers (e.g., UPS, FedEx, DHL or local postal services). TG Tracking is not liable for delays or failures in delivery caused by the carrier or customs clearance processes, or other events beyond our reasonable control.

International Orders: We ship to many countries worldwide. If you order from outside of our primary distribution regions, you are considered the “Importer of Record.” This means you are responsible for ensuring the import complies with local laws and for paying any import duties, taxes, or fees imposed by your country. Such charges are not included in our product or shipping prices and may be collected by the carrier upon delivery. We have no control over these charges and cannot predict their amount. You agree that you will comply with all applicable import laws and regulations. If required by customs, you will provide necessary documentation or identification to release the shipment. Failure to do so may result in the package being held or returned, and additional costs may apply.

Risk of Loss: Title and risk of loss for products you purchase pass to you upon our delivery of the items to the carrier. Please ensure the shipping address is correct and secure. We provide tracking information for shipments when available. If a package is lost in transit or arrives damaged, please contact us and the carrier promptly. We will assist in filing claims or sending replacements as appropriate. Note that if an item is marked as delivered by the carrier, we may consider it delivered to you; any dispute of delivery would need to be taken up with the carrier, though we will help where possible.

Return and Refund Policy

We want you to be satisfied with our products. Please refer to our detailed Return Policy (separate page) for full terms. Key points include:

  • 30-Day Unopened Returns: You have 30 days from the date of purchase (or delivery, as applicable) to return hardware products for a refund if you change your mind, provided the item is unopened, in new condition, and in its original packaging with all accessories. If you have opened or used the product and it is not defective, it may not be eligible for a return (except where law provides a cooling-off period or other rights).
  • Initiating a Return: To return an item, you must contact our support (via [email protected] or our website) within the allowed return window to request a Return Merchandise Authorization (RMA). We will provide instructions on how and where to send your package. You must ship the item back to us within a reasonable time after RMA approval. Proof of purchase (e.g., order number or receipt) is required for all returns.
  • Condition of Returns: Products should be returned in their original condition. For change-of-mind returns, the device must be unused, undamaged, and include all original components (cables, manuals, etc.) and packaging. We reserve the right to inspect the returned items and deny a refund or charge a restocking fee if the item is not in new condition or missing parts (unless the return is due to a defect).
  • Defective or Incorrect Products: If you receive a product that is defective or dead on arrival, or we sent you the wrong item, please notify us within 14 days of delivery. We will arrange for a replacement of the defective unit or correct the shipment at no additional cost to you. In such cases, we will provide a return shipping label or refund your return shipping costs, and we will ship out a replacement as soon as possible. Defective returns reported beyond 14 days may be handled under warranty rather than immediate replacement (see “Warranty” below).
  • Return Shipping Costs: If you are returning a product for a refund due to change of mind or ordering the wrong item, you are responsible for the return shipping cost. We recommend using a trackable shipping service and purchasing shipping insurance for high-value items, as you bear the risk of loss or damage during return transit. TG Tracking is not liable for returns lost in transit, so keep your shipping receipt and tracking info. For returns due to our error or defective products, we will cover or reimburse reasonable return shipping charges (we may provide you a prepaid label or refund the postage).
  • Refunds: Refunds for approved returns will be processed after we receive and inspect the returned item. If all conditions are met, we will issue a refund to your original payment method for the purchase price of the item (minus any shipping charges, which are non-refundable). Please allow up to 5-10 business days after we receive your return for the refund to be processed (it may take additional time for your bank or card issuer to post the credit). We will notify you by email when your return has been received and processed.
  • Subscription Refunds: Fees for Services (subscription or airtime) already provided or activated are not refundable, except as required by law or explicitly allowed in a promotion. If you return hardware that included a prepaid service plan, we will clarify any adjustments or credits at the time of return. Generally, once a device’s service is activated and used, that portion of the fee is not refunded.
  • Exchanges: We currently handle product issues by refunds and new orders, or warranty replacements for defects. If you wish to exchange an unused product for a different model, please initiate a return (if eligible) and then place a new order for the desired model.

Limited Warranty

Unless otherwise stated, TG Tracking hardware products come with a limited warranty against defects in materials and workmanship. The standard warranty period is 12 months from the date of purchase. During this period, if a device malfunctions due to a manufacturing defect (and not due to misuse or external factors), please contact us. We will typically repair or replace the defective product at no cost, per our warranty policy. This warranty is void if the product failure results from accident, abuse, unauthorized repair or modification, misuse (including improper installation or use contrary to the documentation), removal or tampering (such as opening the device casing or altering the SIM), or damage from external causes (water, fire, electrical surge, etc.). Use of the device outside its intended purpose (for example, installing it in environments it’s not designed for) may also void the warranty.

Any warranty claim may require return of the defective unit for inspection. We will guide you through this process. If the product is confirmed defective and under warranty, we will bear the costs of repair/replacement and outbound shipping of the repaired/new unit to you. If not covered by warranty (e.g., issue due to improper use), we will inform you of any repair/replacement options at your cost.

The warranty gives you specific legal rights, and you may also have other rights which vary by jurisdiction (some places have mandatory consumer protection laws that provide additional remedies beyond this warranty). We do not exclude or limit such rights where applicable.

Software License and EULA

Use of TG Tracking’s software (including our web platform, mobile applications, and any firmware on devices) is licensed, not sold, to you. Your use of the software is governed by our End-User License Agreement (EULA), which is hereby incorporated by reference. In summary, TG Tracking grants you a limited, non-exclusive, non-transferable license to use the software strictly for the purpose of accessing and using the Services in accordance with these Terms and your active subscription. You agree not to attempt to copy, modify, distribute, reverse-engineer, or tamper with our software or firmware except as permitted by law. The license is effective for the duration of your subscription or until terminated in accordance with the EULA or these Terms. Please review the EULA (below in this document) for the full terms governing software usage.

Acceptable Use

When using our Services, you must comply with our Acceptable Use Policy, which sets out detailed rules for use of our tracking devices, SIM cards, and platform. In general, you agree not to use the Services for any illegal, unauthorized, or unethical purposes, including but not limited to:

  • Unlawful Tracking: You will not use TG Tracking devices or platform to monitor the location or movement of a person, vehicle, or asset without the necessary legal rights or consent. You should only install our trackers on assets you own, on vehicles you own/lease, or with the clear permission of owners/users. Using the Services for stalking, harassment, or surveillance of individuals without consent is strictly prohibited and may violate laws.
  • Tampering with SIM/Device: You will not remove, swap, or modify the SIM card provided with the device to use it with a third-party service, nor will you tamper with the device hardware or firmware to circumvent our service or charges. Any attempt to alter the device’s communication module, use unauthorized SIMs or data plans, or otherwise use the device outside the intended network can result in service suspension.
  • System Abuse: You will not attempt to interfere with the normal functioning of our systems. This includes refraining from hacking, DDOS attacks, introducing malware or harmful code, or attempting to bypass our security or authentication measures. You agree not to use the platform in a manner that could overburden or impair it, such as by automated scraping or excessive API calls outside any agreed usage limits.
  • Prohibited Content: You will not use our Services to transmit or store any content that is illegal, infringing, or harmful. This includes not uploading any defamatory, obscene, offensive, or violent material to our platform (for instance, if our dashcams can upload images/videos, those must not violate laws or others’ privacy rights). You also agree not to use the service to send unsolicited bulk communications or spam.
  • Compliance with Laws: You must comply with all applicable local, state, national, and international laws and regulations in connection with your use of the Services. This includes (but is not limited to) privacy laws (you may need to inform employees or drivers that they are being monitored, as required by law), transportation and motor vehicle laws (ensure that installing or using a GPS device doesn’t violate any vehicle regulations), and export control laws (you will not use, export, or re-export our products in violation of export sanctions or to prohibited destinations).

We reserve the right to investigate suspected violations of the Acceptable Use Policy and these Terms. If you violate the above rules or allow others to do so using your account or devices, we may take action including suspension or termination of your service, and possibly legal action or cooperation with law enforcement as appropriate.

Intellectual Property

All content and materials provided through the TG Tracking website and Services, including software, text, graphics, logos, button icons, images, audio clips, video, data compilations, and software (collectively, the “Content”), are the property of TG Tracking or its licensors and are protected by intellectual property laws. TG Tracking retains all rights, title, and interest in and to its intellectual property. These Terms do not grant you any ownership rights in the Services or Content.

You may use the TG Tracking name, logo, or trademarks only with our prior written consent. Any feedback or suggestions you provide to us about the Services is entirely voluntary, and we are free to use such feedback as we see fit without obligation to you.

You agree not to reproduce, duplicate, copy, sell, resell, or exploit any portion of the Services or Content without express written permission by us, except as allowed under these Terms. You also agree not to remove, obscure, or alter any proprietary notices (including copyright and trademark notices) that may be present in the Services or Content.

Disclaimers of Warranty

“As-Is” Basis: The TG Tracking Services (including our devices, software, and website) are provided on an “as is” and “as available” basis, without warranties of any kind from TG Tracking, either express or implied, unless expressly set forth otherwise. To the fullest extent permitted by law, we disclaim all warranties, express, implied or statutory, regarding the Services and products, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Services will meet your requirements or achieve any intended results, or that they will operate uninterrupted or error-free. While we aim for accuracy, we do not guarantee the precision or completeness of any information (such as mapping data or analytics) presented via our platform.

Specifically, TG Tracking does not guarantee that: (a) GPS location data will always be available or accurate at every moment (as coverage gaps or atmospheric interference can occur); (b) the cellular or LoRaWAN connectivity will be continuous or free from outages (network availability is subject to third-party carriers and can vary by region); (c) the software will be free from bugs or vulnerabilities (though we strive to fix issues quickly); or (d) the use of the Services will definitively prevent loss or theft of assets (our trackers are a tool to aid in recovery or monitoring, but cannot ensure prevention of those events).

No oral or written information or advice provided by TG Tracking or any authorized representative shall create any warranty. You assume all responsibility for selecting the Services to achieve your intended results and for the installation, use, and results obtained from them.

Some jurisdictions do not allow the exclusion of certain warranties, so some of the above disclaimers may not apply to you. In such case, any implied warranties are limited in duration to the minimum period allowed by applicable law.

Limitation of Liability

To the extent not prohibited by law, in no event shall TG Tracking, its affiliates, directors, officers, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of or inability to use the Services or products. This includes, but is not limited to, damages for loss of profits, loss of data, loss of business, procurement of substitute goods or services, or any other intangible losses, even if we have been advised of the possibility of such damages. For example, we are not liable for any harm or loss resulting from failure of the device to accurately report a location in time, or for any decisions you make based on the data provided by our Service.

In no event will TG Tracking’s total cumulative liability for all claims arising from or related to the Services or these Terms, whether in contract, tort (including negligence), strict liability or otherwise, exceed the total amount you have paid to TG Tracking for the applicable device or service in the twelve (12) months preceding the event giving rise to the liability. If you have not paid TG Tracking for use of any Services, our total liability shall not exceed US $100.

These limitations are fundamental elements of the agreement between you and us. Some jurisdictions do not allow the exclusion or limitation of liability for certain damages – for example, in the event of personal injury or willful misconduct, or certain statutory liabilities. In such jurisdictions, our liability will be limited to the fullest extent permitted by law.

Indemnification

You agree to indemnify, defend, and hold harmless TG Tracking LLC and its affiliates, and each of their respective officers, directors, employees, and agents, from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees and costs) that arise from or relate to: (a) your use or misuse of the Services or hardware (including any data you track or how you use it); (b) your breach of these Terms or violation of any applicable law or regulation; or (c) any third-party claim arising from your actions – for example, any claim that you violated another person’s privacy or rights by unlawfully tracking them, or any claim arising from an accident or incident allegedly caused by your use of our device in a vehicle. This indemnification obligation will survive termination of your relationship with TG Tracking. We reserve the right to assume the defense and control of any matter subject to indemnification by you, in which case you agree to cooperate with us in asserting any available defenses.

Termination

By You: You may stop using our Services at any time. You may also cancel any subscriptions as described in the “Payments and Subscriptions” section. Termination of your account will be effective once processed by TG Tracking support.

By Us: We reserve the right to terminate or suspend your access to the Services (in whole or in part) immediately, without prior notice, if you violate these Terms, the Acceptable Use Policy, or any applicable law, or if your use of the service may expose us to legal liability. We also may terminate a subscription if we cease to offer the service in your region or generally (we will provide advance notice in such case).

Effects of Termination: Upon any termination of service or account, your right to use the Services will cease. If we terminate without cause (not due to your breach), we will refund any prepaid service fees covering the remaining period after termination. If termination is due to your breach, you will not be entitled to any refund for unused period. We may also deactivate or delete your account and all related data (though we may retain certain information for record-keeping or legal purposes per our Privacy Policy). It is your responsibility to export any data you need prior to termination, where possible.

Any provisions of these Terms that by their nature should survive termination (such as payment obligations, warranty disclaimers, limitation of liability, indemnities, and governing law) shall survive.

Governing Law and Dispute Resolution

These Terms and any action related thereto are governed by the laws of the State of Wyoming, USA, without regard to its conflict of laws principles. You agree that any disputes arising from or relating to these Terms or the Services will be subject to the exclusive jurisdiction of the state and federal courts located in Wyoming, and you consent to personal jurisdiction in those courts. However, TG Tracking reserves the right to seek injunctive or other equitable relief in any jurisdiction to prevent actual or threatened infringement, misappropriation, or violation of our intellectual property or other rights.

If you reside outside the United States, you may have certain consumer protection rights under your local laws. Nothing in this section overrides any rights you may have that cannot be waived by contract under the laws of your country of residence, such as any rights to bring an action in your local courts.

Compliance with Export Laws

You agree to comply with all applicable export control and trade sanctions laws. You will not use, export, re-export, import, sell, or transfer any TG Tracking products or software except as authorized by United States law, the laws of the jurisdiction in which you use or obtain the Services, and any other applicable laws. In particular, but without limitation, the hardware, software, and Services may not be exported or re-exported: (a) into any U.S. embargoed countries or regions (currently, for example, Cuba, Iran, North Korea, Syria, and the Crimea region) or (b) to anyone on the U.S. Treasury Department’s list of Specially Designated Nationals or the U.S. government’s Denied Persons List or Entity List. By using our Services, you represent and warrant that you are not located in any such embargoed region or on any such prohibited list. You also agree that you will not use our products for any purposes prohibited by U.S. law, including the development of weapons or other prohibited uses.

Changes to Terms

TG Tracking may update or modify these Terms from time to time. If we make material changes, we will provide notice to you – for example, by updating the date at the top of this document, and possibly via an email to the address associated with your account or by a prominent notice on our website. Updated Terms will be effective when they are posted, unless a later effective date is specified. By continuing to use the Services after the new Terms come into effect, you agree to be bound by the revised Terms. If you do not agree with any changes, you must stop using the Services and (if applicable) cancel your subscription.

Miscellaneous

Entire Agreement: These Terms, along with any policies or agreements expressly incorporated by reference (Privacy Policy, Cookie Policy, Return Policy, Shipping Policy, Acceptable Use Policy, EULA, and any order-specific agreements), constitute the entire agreement between you and TG Tracking regarding the Services. They supersede all prior or contemporaneous understandings, whether written or oral, about that subject matter.

Severability: If any provision of these Terms is held to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible and the remaining provisions of these Terms will remain in full force and effect.

No Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. Any waiver must be in writing and signed by an authorized representative of TG Tracking.

Assignment: You may not assign or transfer your rights or obligations under these Terms to any third party without our prior written consent. We may assign our rights and obligations freely (for instance, in the event of a merger, acquisition, or sale of assets, or by operation of law).

Headings: Section headings in these Terms are for convenience only and have no legal or contractual effect.

Third-Party Services: If our Services integrate or work in conjunction with third-party services (for example, Google Maps for geolocation data, or a third-party platform via API), your use of those third-party services may be subject to separate terms and privacy policies. We are not responsible for third-party services or content.

Force Majeure: TG Tracking is not liable for any delay or failure in performance resulting from causes outside our reasonable control, such as natural disasters, acts of government, labor disputes, internet or telecommunications failures, or other force majeure events.
