Introduction
This End-User License Agreement (“EULA”) is a legal agreement between you (either an individual or an entity, referred to as “Licensee” or “you”) and TG Tracking LLC (“TG Tracking,” “we,” “our,” or “us”) for the use of TG Tracking’s software. The “Software” includes the TG Tracking web platform, mobile applications (iOS/Android apps), firmware embedded in TG Tracking devices, and any related software updates or upgrades provided by TG Tracking. By downloading, installing, or using the Software, you agree to be bound by the terms of this EULA. If you do not agree to the terms of this EULA, do not install or use the Software.
This EULA grants you a limited license to use the Software as defined below. It is not a sale of the Software. TG Tracking (and its licensors) retain all rights to the Software not expressly granted.
License Grant
Subject to your compliance with the Terms and Conditions, this EULA, and payment of any applicable subscription fees, TG Tracking hereby grants you a personal, non-exclusive, non-transferable, non-sublicensable, limited license to install and use the Software, in object code form only, solely for your internal purposes in conjunction with TG Tracking hardware devices and services that you have purchased or subscribed to. This license is provided only for so long as you have an active right to use the Services (for example, during a valid subscription period for the tracking service) and will automatically terminate if you breach this EULA or if your subscription ends and is not renewed.
Permitted Use: You may:
- Install and use the mobile app on your personal or company-owned mobile devices, and access the web platform via browsers, solely to interface with TG Tracking’s tracking services for devices you own or manage.
- Allow your authorized users (e.g., employees or family members for whom you’ve created sub-accounts) to use the Software in accordance with this EULA, provided they agree to and abide by its terms. You are responsible for their compliance.
- Make a reasonable number of copies of any desktop Software or downloadable client, if provided, for backup or archival purposes, provided each copy contains all proprietary notices present on the original.
License Restrictions
You shall not, nor permit anyone else to, directly or indirectly:
- Reverse Engineer: Disassemble, decompile, decipher, manipulate, or reverse-engineer the Software, or attempt to derive the source code or underlying ideas or algorithms from the Software, except to the limited extent allowed by applicable law (and then only with prior notice to us).
- Modification and Derivatives: Modify, adapt, translate, or create derivative works based on the Software or any portion thereof. You may not remove or alter any copyright, trademark, or other proprietary notices on the Software.
- Unbundling: Use any component of the Software on a standalone basis or separate from the TG Tracking Services or hardware it is intended for. For example, you may not extract the firmware or software from a TG Tracking device and use it on other hardware.
- Copy or Distribution: Copy (except as expressly permitted for backup) or distribute the Software, in whole or in part. You may not rent, lease, lend, sell, redistribute, or sublicense the Software to any third party. The Software is licensed only to you for your own use.
- Multiple Users: Circumvent any technological controls or licensing restrictions in the Software. For instance, if a software feature is limited to certain subscription levels or number of users, you agree not to attempt to bypass those limitations.
- Competitive Use: Use the Software to develop a competing product or service, or use the Software or any trade secret information of TG Tracking for any purpose to TG Tracking’s detriment or commercial disadvantage. You also shall not run or benchmark the Software for competitive analysis or publish performance results without our consent.
- Security: Attempt to disable or circumvent any security features or measures of the Software. You shall not introduce viruses, worms, malware, or any other harmful code into the Software or use the Software in a way that could harm our systems or other users.
- Prohibited Data: Use the Software to transmit or store any content that is unlawful, invasive of privacy, infringing of intellectual property, or otherwise in violation of the Acceptable Use Policy or applicable law (this overlaps with Terms/AUP, but is reiterated for software specifically).
If you violate any of these restrictions, the license granted to you will immediately terminate and you may be subject to prosecution and damages. TG Tracking reserves all rights and remedies in the event of such breach.
Ownership and Intellectual Property
The Software is licensed, not sold. TG Tracking and its licensors retain all ownership and intellectual property rights in and to the Software, including all copies, modifications, and derivative works of the Software (whether authorized or not). The Software is protected by copyright laws, international copyright treaties, and other intellectual property laws and treaties. All TG Tracking trademarks, logos, and brand elements are the exclusive property of TG Tracking. This EULA does not grant you any rights to use TG Tracking’s name, logo, or trademarks, except as necessary to identify your authorized use of the Software.
Any feedback, suggestions, or ideas you provide to TG Tracking regarding the Software (“Feedback”) may be used by TG Tracking without restriction or obligation. By providing Feedback, you grant TG Tracking a worldwide, perpetual, irrevocable, royalty-free license to use and incorporate the Feedback into the Software or any of its products.
Updates and Upgrades
TG Tracking may, from time to time, develop patches, bug fixes, updates, upgrades, or other modifications to improve the performance or security of the Software (“Updates”). These may be automatically installed on your device or made available for manual download, depending on your device settings and the nature of the update. You consent to receive such Updates as part of your use of the Software. All Updates are considered part of the Software and subject to this EULA, unless separate terms accompany the Update (in which case those terms apply).
TG Tracking is not obligated to provide any Updates or to continue providing or updating any particular version of the Software. However, we often provide Updates to enhance features, address security issues, or ensure compliance with law and platform requirements. It is recommended that you accept and install Updates promptly for optimal performance and security.
Term and Termination (EULA)
This EULA is effective from the first date you install or use the Software and will continue in effect until terminated.
You may terminate this EULA at any time by ceasing all use of the Software and uninstalling or deleting all copies of the Software in your possession.
This EULA (and your license) will also terminate automatically, without notice, if: (a) you fail to comply with any term of this EULA or the broader Terms of Service, or (b) your subscription or access to the TG Tracking Services associated with the Software lapses or is terminated (for example, if you stop paying for the service that the Software enables, we may disable or terminate your license to the Software). In addition, TG Tracking may terminate this EULA (and your license) if we discontinue the Software or Services, provided that, if you are in compliance with all agreements, we either offer a refund for any remaining prepaid service or provide a substantially similar software/service until the end of your subscription.
Upon termination of this EULA for any reason, you must immediately cease all use of the Software and destroy all copies of the Software in your possession or control. Sections of this EULA that by their nature should survive termination (such as Ownership, Warranty Disclaimer, Limitation of Liability, etc.) shall survive.
Warranty Disclaimer (Software)
To the maximum extent permitted by law, the Software is provided “AS IS” and “WITH ALL FAULTS” without warranty of any kind. TG Tracking disclaims all warranties and conditions, either express, implied or statutory, including but not limited to any (if any) implied warranties, duties or conditions of merchantability, fitness for a particular purpose, accuracy or completeness of responses, results, workmanlike effort, lack of viruses, and lack of negligence, all with regard to the Software. There is no warranty or guarantee that the Software or any device or service will function uninterrupted or error-free, or that data presented will be 100% accurate or up-to-date at all times.
TG Tracking does not warrant that the Software will meet your requirements or that operation of the Software will be uninterrupted or error-free, or that the Software will be compatible with any hardware or systems not expressly specified by us. You assume all responsibility for use of the Software and any consequences that arise from its use. We also disclaim any warranty that any errors or defects in the Software will be corrected, though we endeavor to address significant issues through Updates.
Some jurisdictions do not allow the exclusion or limitations of certain warranties, so some of the above disclaimers may not apply to you. In such cases, any implied warranties are limited to the shortest period permitted by law.
Limitation of Liability (Software)
The Limitation of Liability stated in the Terms and Conditions above applies to your use of the Software as well. To summarize and apply here: to the fullest extent allowed by law, TG Tracking will not be liable for any indirect, special, incidental, or consequential damages arising out of or related to the Software or this EULA, such as lost profits, lost data, or business interruption, even if advised of the possibility of such damages. TG Tracking’s total cumulative liability for any direct damages in connection with the Software or this EULA will not exceed the amount actually paid by you for the Software or the associated Services in the 12 months preceding the claim (or USD $100 if no fee was paid).
These limitations and exclusions of liability apply to all causes of action, whether in contract, tort, or otherwise, and even if a remedy fails of its essential purpose. Some jurisdictions do not allow limitation of liability for personal injury, or of incidental or consequential damages, so this limitation may not apply to you to the extent prohibited by law.
Export Compliance
The Software may be subject to United States export control laws and other international export laws and regulations. You agree to comply strictly with all such laws and regulations. You will not, directly or indirectly, export, re-export, or transfer the Software to any country or individual prohibited by export control laws, including to any end user engaged in activities related to weapons of mass destruction. By using the Software, you represent and warrant that you are not located in, under control of, or a national or resident of any such prohibited country or on any such prohibited party list.
U.S. Government End Users (if applicable)
The Software is deemed to be “commercial computer software” and “commercial computer software documentation” as defined in FAR 12.212 and DFAR 227.7202. Any use, duplication, or disclosure of the Software by the U.S. Government or its contractors or agents is subject to the restrictions set forth in this EULA pursuant to FAR 12.212 or DFAR 227.7202-3, as applicable, or successor provisions. Manufacturer is TG Tracking LLC, Wyoming, USA.
General (EULA)
This EULA, together with the Terms of Service and any other applicable policy, constitutes the entire agreement between you and TG Tracking concerning the Software and supersedes all prior or contemporaneous oral or written understandings. If any provision of this EULA is held invalid or unenforceable, it shall be modified to the minimum extent necessary to make it enforceable (or severed, if necessary), and the remainder of the EULA shall remain in effect. The failure of TG Tracking to enforce any right or provision of this EULA will not be deemed a waiver of such right or provision.
This EULA is governed by the same law and dispute resolution terms specified in the Terms of Service (State of Wyoming law, etc.). Any disputes under this EULA shall be handled consistently with that section.
